BRIGHTER MATHS TERMS & CONDITIONS

PLEASE READ THIS DOCUMENT CAREFULLY.

Purpose, Scope and Prerequisites
This Agreement governs your participation in and access to the Brighter Maths Program.

  1. The Brighter Maths Program is underpinned by the Science of Learning and Maths Australia’s patented I-CRAVE Maths® Methodology, which may not be copied, replicated, taught, trained, re-packaged, or implemented outside the scope of this Agreement. 
  2. For program success and measurable numeracy outcomes, explicit hands-on teaching manipulatives are required: the Integer Block Kit for Red, Green, Orange, Pink and Yellow Levels, and the Advanced Kit for Blue and Purple Levels of Brighter Maths. These materials are to be used within the scope of this licence in order to obtain the greatest impact of teaching maths in the way outlined. Other alternatives will not produce the same results.
  3. The licence is granted to you as a parent and is linked to (and only valid for use within) your family only (except in the case of a single tutor using this for 1:1 or small group instruction).
  4. Upon receipt of full payment of the relevant subscription fees, Maths Australia grants you a non-exclusive, non-transferable, non-sublicensable, revocable, limited licence to access and use Brighter Maths program materials strictly for the duration of your active subscription. This licence is granted for the sole purpose of teaching your own children (or limited number of children as a single tutor), and does not confer any ownership, title, or interest in any intellectual property, materials, or the I-CRAVE Maths® Methodology.

Licensed Materials

  1. Licensed materials include lesson-by-lesson videos, lesson plans, printable student workbooks solutions, student assessments and solutions, annotatable and/or hard copy student resources (depending on the chosen subscription), downloadable resources, curriculum alignment documentation, scope and sequence and approved manipulatives.
  2. Printing/Copying: Licensees may print the above assigned materials solely for their own children and only during the active subscription period.
  3. Additional online annotatable student resources are available at an additional fee.

Prohibited Conduct

  1. You must not copy, record, screenshot, download, reproduce, or create any derivative works from any video, audio, written, or downloadable content, except as expressly permitted in this Agreement for printing of parent materials for your family.
  2. You must not share, distribute, transmit, upload, publish, communicate to the public, or otherwise provide any portion of the Brighter Maths Program (including the Licensed Materials, I-CRAVE Maths® Methodology, or any confidential information) to any third party, including other family/ friends, personnel or learning facilitators at your Home who are not Authorised Users, except for printed parent materials provided directly for immediate instructional use.
  3. Login sharing is strictly prohibited outside your family. Program access is assigned to a single educator, learning support officer, intervention specialist, tutor, learning facilitator or parent and may not be used by multiple persons, except in the case of home educators co-teaching their child/children, tutors engaged to support this education, or tutors engaging this parent subscription with prior permissions.
  4. You must not store, archive, or host program materials locally (including on a school, organisation or personal server, learning management system, shared drive, USB, or personal device) for use after subscription cancellation or expiry except for a single copy of resources included in the subscription purchased, which are able to be re-used within your own family.
  5. You must not translate, adapt, or modify materials to create derivative works without written consent.
  6. You must not deliver public instruction, training, or workshops based on these materials or the I-CRAVE Maths® Methodology without explicit prior written authorisation from Maths Australia. This prohibition includes but is not limited to professional development sessions, teacher training, conference presentations, webinars, online courses, and any form of instruction to other educators or third parties.
  7. You must not circumvent any access controls or digital rights management tools.
  8. Authorised users and internal sharing: Only teachers, tutors, learning facilitators or parents who have been provided individual access credentials by Maths Australia in writing (‘Authorised Users’) may access or use the portal and materials. If additional staff require access under a parent subscription, the subscribing parent must contact Maths Australia in writing to request access, and Maths Australia will directly grant such access. Each Authorised User will be provided with unique login credentials. Sharing of login credentials, passwords, or access outside family users is strictly prohibited and constitutes a material breach of this Agreement.
  9. Any conduct prohibited under clause 3 constitutes a material breach of this Agreement and will result in immediate termination of access without refund and may result in legal action being taken, including but not limited to claims for injunctive relief, damages, account of profits, and costs on a full indemnity basis. Maths Australia Enterprises Pty Ltd actively monitors for unauthorised use or reproduction of its intellectual property and reserves all rights to pursue civil and, where applicable, criminal remedies. The Licensee acknowledges that breach of this Agreement may cause irreparable harm to Maths Australia for which damages may be an inadequate remedy, and accordingly Maths Australia is entitled to seek equitable relief including injunctions.

Intellectual Property and Enforcement

  1. All intellectual property contained in the Brighter Maths Program, including the I-CRAVE Maths® Methodology (including but not limited to its instructional sequence, language structures, lesson flow, pedagogical design, and implementation process), and including the curriculum, videos, written materials, frameworks, graphics, teaching aids, and hands-on explicit manipulatives, remains the exclusive intellectual property of Maths Australia Enterprises Pty Ltd. You acknowledge that these materials and methodology are protected under Australian and international copyright and intellectual property laws and patents.
  2. Any unauthorised copying, distribution, modification, repackaging, renaming, commercial use, or unauthorised teaching of the methodology is strictly prohibited and may result in legal proceedings, including claims for damages, costs, and injunctive relief.
  3. Continued use of any program materials after subscription expiry constitutes unauthorised use and breach of this Agreement, except within the original family of purchase.

Payment and Access

  1. Access to the Brighter Maths Program is provided upon receipt of full (or partial) payment and remains valid only for the period specified at the time of purchase and while the subscription is active, subject to continued compliance with this Agreement.
  2. Parent subscriptions include provisioning for sharing access for multiple learning facilitators to support implementation. Access remains strictly limited to the individual family registered and is not to be shared or transferred.
  3. If a payment plan is selected, access will be suspended immediately upon any failed or missed payment. Access will be reinstated once payment is received and an agreement for on-time payment is re-established.

Annual Online Access Subscriptions

  1. For annual online access subscriptions, access commences on the date of purchase and remains active for twelve (12) consecutive months unless otherwise specified in writing by Maths Australia.
  2. Annual subscriptions cannot be paused, suspended, deferred, extended, transferred, or placed on hold for any reason.
  3. The subscription period will continue to run from the original purchase date regardless of when the program is actively used.
  4. Licensees are responsible for ensuring they are ready to commence use of the program prior to purchase.
  5. Access will expire at the end of the applicable subscription period unless renewed.
  6. For promotional offers, discounted access periods are subject to the same conditions outlined above and remain active for the full subscription period from the original purchase date.

Termination

  1. Maths Australia may suspend or terminate your licence immediately if you breach any term of this Agreement or if your subscription ends.
  2. Upon breach of any term of this Agreement, you must immediately cease all use of the online Brighter Maths Program, including lesson delivery using the program materials or methodology, and you must destroy or permanently delete all copies (including printed, downloaded, stored, or archived materials) in your possession or control. Termination does not limit Maths Australia’s right to seek damages or further remedies for breach or infringement.
  3. If termination is due to the end of a subscription, and not a breach of this Agreement, a home educator is exempt from this point and may continue to use printed materials for which they have paid.
  4. Termination for breach does not entitle the Licensee to any refund of fees paid.

Indemnity

You agree to indemnify and hold harmless Maths Australia Enterprises Pty Ltd and its directors, employees, and representatives against any claims, losses, damages, liabilities, penalties, and expenses (including legal costs on a full indemnity basis) arising from your breach of this Agreement, misuse of materials, unauthorised teaching of the I-CRAVE Maths® Methodology, or unauthorised use of intellectual property.

Limitation of Liability

To the fullest extent permitted by law, Maths Australia’s total liability under or in connection with this Agreement is limited to the total subscription fees paid by the Licensee in the twelve (12) months preceding the event giving rise to the claim. Maths Australia is not liable for any indirect, consequential, or incidental loss or damage.

Maths Australia makes no guarantee of specific student outcomes. Results depend on correct implementation, consistent use, and appropriate intervention practices.

Dispute Resolution

In the event of a dispute, both parties agree to act in good faith to resolve matters amicably through negotiation. If unresolved, either party may refer the dispute to mediation conducted in Queensland, Australia, by a mediator agreed between the parties (or appointed by an appropriate body if the parties cannot agree). Mediation is non-binding unless the parties reach a written settlement agreement. If mediation does not resolve the dispute, either party may pursue any available legal remedy.

Governing Law

This Agreement is governed by the laws of Queensland, Australia. Both parties submit to the exclusive jurisdiction of the courts of Queensland.

Acknowledgement

By completing payment, you confirm that you have read and understood this Agreement, agree to comply with its terms, and acknowledge that your licence to access and use the Brighter Maths Program is limited to the duration of the active subscription as purchased by you. You further acknowledge that unauthorised use or teaching of the I-CRAVE Maths® Methodology is prohibited.
